EIN
Hi Jack - I have been able to acquire EIN's for private trusts without entering an SSN or other tax ID.

Sometimes the IRS issues it, sometimes they write back wanting more information.

The reason I opted for one of the private trusts in my structure to have an EIN is because this trust is the owner of an LLC and for banking purposes the owner of the LLC must be present to open an account and provide an SSN or other tax ID.

Banks ask for the SSN since the Patriot Act was enacted. The owner...

Understood. I agree. And that is interesting about the LLC as a wolf in sheep's clothing. I will keep this in mind as I further build out the structure. Thank you - Siobhan

Sure Rolando, you could have a foreign corporation own the US corporation. Behind that I would have a holding trust own the foreign corporation and/or hold a lien over all its assets, and a private master trust that holds a lien over the holding trust's assets.

Thanks Christian.

Your last answer helps a lot!

It seems that everyone except me in this thread is American. What about a foreigner who wants to start a corporation to do business in America? Wouldn't it be wiser to use a foreign parent / holding company that owns the American C-corp?

I'm considering combining private express trusts with offshore corporations. I need to deal with American clients who transact only with ACH/ABA funds transfers. So, without citizenship or residency, I need...

In theory, taxation of an LLC as a corp should solve the jurisdictional issue for the trust, yes. I still prefer C-corps because they are less tracked by tax paperwork. Whenever an LLC makes money of a certain amount, the payer of the revenue is required to report it on a 1099. There is no such requirement for reporting on a C-corp. The LLC was created and actively marketed by the Feds in order to cause people to unwittingly agree to such tracking of earnings by reporting requirements placed on...

Hey all,

Christian thanks for your commentary here. I have the same question as well, the reason for it is that I have an already created and existing LLC that is part of a trust web structure. I see the logic in using a C-corp to avoid the IRS contact issue altogether insofar as a private express trust is involved.

With regards to this part of your message "C-corps are better for trusts to own because they cut off the tax liability at the public entity level, whereas LLCs pass the liability...

Why do you prefer this entity structure over a C-corp? A C-corp solves everything you're wondering.
06 Oct 2017 10:47
I see no one has tackled this question, probably because it's a tricky one without a clear answer. Utilization of VA benefits will definitely create minimum contacts and continue your ALL CAPS NAME juristic person in the public forum jurisdiction. However, you can wear more than one hat. If you own and control a corporation as CEO, that corporation is a separate entity from the entity that served in the military, even though you control both. Likewise, if you control a private express trust as...

This is a rephrase of my last question which was not clear. As a veteran, do I let go of the benefits I incurred from my four years of military service twenty years ago; since, going to the VA would indeed be a use of benefits, the VA does have my SSN and would identify me through that. The answer may seem obvious but there must be some way to retain the energy given to secure the use of the medical services...or not. As one moving to operate in a private capacity through trust(s), any contact...

I am a veteran who came into the science of trust somewhat late. I overstand that the social security number is a federal trust account number placing the holder in 14th amendment status. The problem is, now what do I do with my medical benefits. Do I just throw away the labor and time I spent in the military and not use the benefits (i.e. VA hospital, which I may need in the near future).

When using these benefits the first thing they want is the name, address SSN etc. I appreciate any input...

Hey Christian.

I was going to ask whether your approach still works with a single-member LLC that elects to be taxable as a C-corp. According to the following page, it probably wouldn't if the owner is an individual:

Single Member Limited Liability Companies

However, would your approach work with an LLC owned by a C- or S-corp and not another LLC?

Thanks.

Rights to royalties are property, no different from any other asset. They can be sold, donated or otherwise transferred at any time. When entering into a rights contract with royalties, it is often worth including an assignment clause to ensure the parties agree that the rights can be sold or assigned. Also, simply making the payee "John Doe and/or assignee(s)" does the trick.

A company has asked me to create content for an online programming course. They'll pay me with an upfront deposit and ongoing royalties.

If I use my full legal name as my author name when publishing this course, does doing so bind me to paying (corporate and personal) income taxes forever? If so, can I lawfully and legally use any pen name I choose when signing my contract with them and publishing the course?

I would like to broach a few issues on the ID. I see this as a major starting point to differentiating free inhabitants from persons.

1. In a previous post it was mentioned that "8 USC 1101(a)(2)" was the only option? Not really sure I can agree with this. I did a little research a few years ago on the subject of obtaining passports. 8 USC 1101(a)(14): "The term “foreign state” includes outlying possessions of a foreign state, but self-governing dominions or territories under mandate or...

A private trust can own the shares of a public entity. C-corps are better for trusts to own because they cut off the tax liability at the public entity level, whereas LLCs pass the liability through to the trust, which puts the trust in business with the IRS. A better way to handle the whole matter is for the trust to loan the company money by contractual security agreement and record a consensual lien for all the assets of the company. Now it doesn't own the company, it just ultimately controls...

Hello all, I haven't found the answer to this yet, so I'll ask here:

Is it problematic for one to take an existing Corporation or LLC and change ownership of it by having a Trust take it over?

Does one have to notify the public of such a move in the local newspaper? Is that even necessary any more?

Thank you for your input.

Just to confirm my question in #3 above. In "The Greatest Story Never Told" he says this:

"Since there is no worth associated with these ‘notes’, they can only be used in a bankrupt system, and anything purchased by them actually belongs to the creditor and creator of the ‘notes’, the Federal Reserve Bank."

So, I feel concern that a trust res consisting of material "purchased" with FRNs will never be legitimately owned by the Trust. Is this not so?

Thank you.
